Operation-Test Marketing

| Reason: | Develop scale-up data and sell products into test markets and new product development programs. | |

| Purpose: | Combine talents of Brix-Berg and partner firm for specific business purposes. | |

| Purpose: | Complete preliminary engineering design, process flow diagrams and
instrumentation, cost estimation and/or modular construction. |

| Purpose: | Organize project financing on a lease buy-back arrangement. $20 million
maximum. |

option to purchase the fixed assets at a later date.
